- Grant of License
IMO hereby grants to you a limited, nonexclusive, and non-transferrable online license to use the web-based subscription search services of IMO® Code Scout™ (the "Software"). The Software is for use only by you or one authorized agent, for your internal business purposes. You agree to take all necessary steps to insure that your agent abides by the terms of this agreement. You may not distribute or share your Username and/or Password.
- License Restrictions
Any use not authorized herein is prohibited, including by way of illustration and not by way of limitation, making copies of the Software for resale and/or license, transferring copies of the Software to any party not bound by this agreement, creating any modified or derivative work of the Software, attempting to reverse engineer, decompile, disassemble, decrypt, translate, alter, adapt or modify the Software, or making any commercial use of the Software. A license to use IMO® Code Scout™ for any use not authorized herein must be obtained through IMO.
- Reservation of Rights
You acknowledge that IMO has and shall have exclusive title to and ownership of all of its products, including the Software and of all of its sub-parts and components, and of all updates, modifications, alterations, customizations, derivative works, or revisions thereof, and of all software, source code, and trade secrets, and proprietary research, equations, screens, techniques, methodology, analysis, programming or know-how thereof. IMO retains the right to audit your use of the Software with reasonable prior notice.
- Term and Fees
This Agreement will take effect when you click on the activation link found in the email that is sent to you after signup, and will remain in force for one year, or until terminated pursuant to paragraph 7. In consideration of the license granted pursuant to Section 1, you agree to pay to IMO the nonrefundable license, renewable annually.
- Limitation of Liability
IMO does not practice medicine. All decisions regarding patient care must be made with a healthcare provider and consider the unique characteristics of each patient. The Software is provided "as is" without warranty of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose and any non-infringement of intellectual property rights. IMO WILL NOT BE LIABLE FOR ANY CLAIMS ATTRIBUTABLE TO ANY ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE INFORMATION OR MATERIAL CONTAINED IN THE SOFTWARE. In no event shall IMO be liable for direct, indirect, special, incidental, or consequential damages arising out of the use of such information or material. Each party's liability for damages under this agreement shall not exceed the license fees paid or payable by you to IMO.
- Confidential Information
You acknowledge that the Software and related materials constitutes Confidential Information. You agree that you shall use this Confidential Information solely in accord with the provisions of this Agreement and will not disclose, or permit to be disclosed, the same, directly or indirectly, to any third party, aside from its intended use for medical billing, without IMO's prior written consent. In the event of an actual or threatened breach of the provisions of this section, you agree that IMO has no adequate remedy at law and will be entitled to immediate injunctive and other equitable relief, without bond and without the necessity of showing actual money damages.
This license is dependent upon your timely payment of the associated annual fee, and will automatically renew one year from the date the fee last was paid, unless you explicitly opt-out of the subscription service, either via email or in writing. IMO may terminate the license without cause upon thirty (30) days notice. IMO may terminate the license immediately if your subscription expires and renewal payment is not received.
- Government Rights
CPT® is commercial technical data and/or computer data bases and/or commercial computer software and/or commercial computer software documentation, as applicable, which was developed exclusively at private expense by the American Medical Association, 515 North State Street, Chicago, Illinois, 60610. U.S. Government rights to use, modify, reproduce, release, perform, display, or disclose these technical data and/or computer data bases and/or computer software and/or computer software documentation are subject to the limited rights restrictions of DFARS 252.227.7015(b)(2) (November 1995) and/or subject to the restrictions of DFARS 227.7202-1(a) (June 1995) and DFARS 227.7202-3(a) (June 1995), as applicable, for U.S. Department of Defense procurements and the limited rights restrictions of FAR 52.227-14 (June 1987) and/or subject to the restricted rights provisions of FAR 52.227-14 (June 1987) and FAR 52.227-19 (June 1987), as applicable, and any applicable agency FAR Supplements, for non-Department of Defense Federal procurements.
- Severability, Integration, and Amendment
If any term of this Agreement is found to be invalid, unlawful, or unenforceable, it will be severed from the remaining terms, which will continue to be valid and enforceable. This Agreement contains the entire agreement of the parties with respect to its subject matter, and supersedes all previous representations and agreements. This Agreement may not be amended or modified, except by a writing signed by authorized representatives of both parties.
- Export Controls
The Software is intended for use in the United States. You may not export the Software without IMO's prior written consent and without the appropriate United States and foreign government licenses.
- Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of Illinois. The parties agree that any dispute relating to either party's rights or obligations under this Agreement shall be resolved by arbitration.
